Sozdai — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "Customer") and AIMAKE LTD ("Sozdai", "we", "us") governing your access to and use of the Sozdai platform, APIs, dashboard, documentation, and related services (collectively, the "Services"). By creating an account, generating an API key, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

3. Accounts and Registration

3.1 You may register with an email and password or via a supported third-party identity provider (e.g., Google, GitHub). You are responsible for the accuracy of your account information and for all activity under your account.

3.2 You must keep your credentials secure. We are not liable for loss arising from unauthorized use of your account where you failed to protect your credentials.

4. API Keys and Security

4.1 API keys authenticate requests to the Services and must be kept confidential. Treat them like passwords; do not embed them in client-side code, public repositories, or shared with third parties.

4.2 You are responsible for all usage and charges incurred under your API keys, including usage resulting from compromised keys. You can revoke and rotate keys at any time in the console.

5. Acceptable Use

You agree not to use the Services to:

Upstream policies. Model Outputs are produced by Upstream Providers. Your use of models through the Services is also subject to the acceptable-use and usage policies of the applicable Upstream Provider, and you agree to comply with them. We may enforce those policies on their behalf.

6. Credits, Billing, and Payment

6.1 Prepaid model. The Services are billed on a prepaid basis. You add funds to your account balance, and usage is deducted from that balance according to the pricing in effect at the time of each request.

6.2 Pricing. Current pricing is published on our pricing page and in the console. Language-model usage is generally metered per token (input, output, and cache read/write, where applicable); media generation is metered per generation or per unit (e.g., per second of video), which may vary by resolution, duration, or other parameters. Prices are quoted in US dollars; other displayed currencies are for convenience only and converted at a rate we maintain.

6.3 Changes. We may change pricing prospectively. Material changes will be reflected on the pricing page. Continued use after a change constitutes acceptance.

6.4 Refunds. Except where required by law, prepaid balances are non-refundable. We may, at our discretion, refund unused balances.

6.5 Taxes. Prices are exclusive of taxes. You are responsible for any applicable taxes other than taxes on our net income.

7. Service Availability

The Services are provided on an "as available" basis. We rely on Upstream Providers and third-party infrastructure and do not guarantee any particular uptime, latency, model availability, or caching behavior unless expressly agreed in a separate written agreement. We may modify, suspend, or discontinue any part of the Services at any time.

8. Intellectual Property

8.1 Your content. As between you and us, you retain your rights in your Inputs. Subject to your compliance with these Terms and applicable Upstream Provider terms, we do not claim ownership of your Inputs or Outputs. You grant us a limited license to process and transmit your Inputs and Outputs solely to operate and provide the Services, including routing your requests to the applicable Upstream Provider and returning Output to you.

8.2 Our property. The Services, including software, documentation, and branding, are owned by us or our licensors. Except for the limited right to use the Services under these Terms, no rights are granted to you by implication or otherwise.

8.3 Output. Outputs may be non-unique and similar Output may be generated for other customers. You are responsible for evaluating Output for accuracy and suitability; do not rely on Output as a sole source for professional, legal, medical, or financial decisions.

9. Third-Party Providers

The Services route requests to Upstream Providers and use third-party infrastructure. We are not responsible for the acts, omissions, or policies of those third parties. Your Inputs may be transmitted to Upstream Providers to fulfill your requests; see our Privacy Policy.

10. Disclaimers

THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

12. Indemnification

You will indemnify and hold us harmless from any claims, damages, and expenses (including reasonable legal fees) arising from your Inputs, your use of the Services, or your violation of these Terms or applicable law or Upstream Provider policies.

13. Suspension and Termination

We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by an Upstream Provider or by law, or to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 8–12) will survive.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide reasonable notice. Continued use after the effective date constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of [GOVERNING LAW / JURISDICTION], without regard to conflict-of-laws rules. The courts located in [VENUE] will have exclusive jurisdiction, unless a different mechanism (e.g., arbitration) is specified here: [OPTIONAL ARBITRATION CLAUSE].
