Sozdai — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "Customer") and AIMAKE LTD ("Sozdai", "we", "us") governing your access to and use of the Sozdai platform and related services (collectively, the "Services"). By creating an account or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

Sozdai is an all-in-one AI creative platform operated by AIMAKE LTD. The Services allow you to chat with AI assistants and to generate images, video, and music through the Sozdai web application. Certain features are powered by third-party artificial-intelligence technology providers ("Technology Providers") that we integrate into the Services.

• Input — any prompt, message, file, image, audio, or other content you submit to the Services.
• Output — any content the Services return in response to your Input, including assistant replies and generated media.
• Credits — prepaid units of use sold by AIMAKE LTD that are consumed when you use features of the Services (see Section 5).

2. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

3. Accounts and Registration

3.1 You register with an email address and password. You are responsible for the accuracy of your account information and for all activity under your account.

3.2 You must keep your credentials secure. We are not liable for loss arising from unauthorized use of your account where you failed to protect your credentials.

4. Acceptable Use

You agree not to use the Services to:

• violate any applicable law or regulation, or infringe the rights of others;
• generate, distribute, or facilitate content that is illegal, that sexually exploits or endangers minors, that promotes violence or self-harm, that harasses or defames, or that constitutes malware;
• attempt to bypass, disable, or circumvent usage limits, rate limits, billing, filtering, or security controls;
• reverse engineer or reconstruct the Services, or resell access to the Services, except as expressly permitted by us in writing;
• misrepresent Output as human-generated where prohibited, or otherwise use the Services deceptively;
• use the Services to build a competing model, or to scrape or extract model weights or training data.

Provider policies. Certain Outputs are produced with the help of Technology Providers. Your use of those features is also subject to the applicable provider's acceptable-use policies, and we may enforce those policies.

5. Credits, Billing, and Payment

5.1 Credits. The Services are used with prepaid Credits sold by AIMAKE LTD in fixed packs at the prices shown on our pricing page. Credits are added to your account once your payment is confirmed.

5.2 Consumption. Each use of a feature (for example, an assistant reply, an image, a video, or a music generation) consumes Credits according to the rates published on our pricing page and in your account. Rates may vary with generation settings (for example, resolution or duration). If a generation fails, the Credits reserved for it are automatically returned to your account.

5.3 Nature of Credits. Credits are a prepaid right to use the Services. They are not money, do not accrue interest, are not transferable between accounts, and cannot be exchanged for cash except as required by law or as described in our Refund Policy.

5.4 Pricing changes. We may change pricing prospectively. Material changes will be reflected on the pricing page. Continued use after a change constitutes acceptance.

5.5 Refunds. Refunds are handled as described in our Refund Policy. Nothing in these Terms limits your non-waivable statutory rights.

5.6 Taxes. Prices are exclusive of taxes. You are responsible for any applicable taxes other than taxes on our net income.

6. Service Availability

The Services are provided on an "as available" basis. We rely on Technology Providers and third-party infrastructure and do not guarantee any particular uptime, latency, or feature availability unless expressly agreed in a separate written agreement. We may modify, suspend, or discontinue any part of the Services at any time.

7. Intellectual Property

7.1 Your content. As between you and us, you retain your rights in your Inputs. Subject to your compliance with these Terms, we do not claim ownership of your Inputs or Outputs. You grant us a limited license to process and transmit your Inputs and Outputs solely to operate and provide the Services.

7.2 Our property. The Services, including software, design, and branding, are owned by us or our licensors. Except for the limited right to use the Services under these Terms, no rights are granted to you by implication or otherwise.

7.3 Output. Outputs may be non-unique and similar Output may be generated for other customers. You are responsible for evaluating Output for accuracy and suitability; do not rely on Output as a sole source for professional, legal, medical, or financial decisions.

8. Third-Party Providers

Certain features of the Services are powered by Technology Providers and third-party infrastructure. To provide those features, your Inputs may be transmitted to the applicable provider; see our Privacy Policy. We are not responsible for the acts, omissions, or policies of third parties.

9. Disclaimers

THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

11. Indemnification

You will indemnify and hold us harmless from any claims, damages, and expenses (including reasonable legal fees) arising from your Inputs, your use of the Services, or your violation of these Terms or applicable law.

12. Suspension and Termination

We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 7–11) will survive.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide reasonable notice. Continued use after the effective date constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules. The courts of England and Wales will have exclusive jurisdiction, except where mandatory consumer-protection law of your country of residence provides otherwise.
